Affiliate Program Terms

These terms ("Affiliate Terms") govern your participation in the SERPTool affiliate program. They incorporate by reference our Terms of Service and Privacy Policy. By submitting an affiliate application you agree to these Affiliate Terms.

1. Eligibility and approval

  • You must hold an active SERPTool account in good standing.
  • Applications are reviewed manually. We may approve, reject, or revoke any application for any reason without explanation.
  • You may not operate more than one affiliate account.

2. Commission

  • Approved affiliates earn 20% of eligible revenue from subscription invoices paid by customers you refer, for 12 months from the customer's first paid invoice.
  • Eligible revenue = invoice gross − Stripe processing fee − a fixed per-plan COGS allowance. The COGS allowance covers infrastructure and third-party data costs and is set by us at our discretion. Current allowances are published in your affiliate dashboard.
  • Commissions apply to subscription invoices only. One-time credit pack purchases do not earn commission.
  • If a referred customer changes plan, future commission is calculated against the new plan's eligible revenue. The 12-month window is anchored to the first paid invoice and does not reset.

3. Attribution

  • Attribution is by last-touch cookie with a 60-day window. The most recent affiliate link clicked before signup wins the attribution.
  • Attribution is set at signup only. Existing customers are never retroactively attributed.
  • Cookie loss (cleared cookies, incognito browsing, mismatched device, ad-blockers stripping referrers) is an accepted risk and is not eligible for manual recovery.
  • Self-referrals are prohibited and will be auto-rejected. This includes signups using your own email, household members, or accounts you control.

4. Hold, reversal, and clawback

  • Each commission is held for 30 days from the qualifying invoice date before becoming available for payout. This absorbs refunds and chargebacks within the standard dispute window.
  • If a referred customer's invoice is refunded or charged back at any time, the related commission is reversed. If the commission has already been paid out, the reversed amount is debited from your balance and offset against future commissions (clawback). A negative balance does not require direct repayment unless your account is closed with a balance owed.

5. Payouts

  • Payouts are made via PayPal to the email address on file. You are responsible for keeping that email accurate.
  • Minimum payout threshold: USD $50. Balances under this carry forward.
  • PayPal payout fees are deducted from your payout amount. International payouts may incur currency-conversion charges from PayPal.
  • You are solely responsible for any taxes owed on commissions in your jurisdiction. US affiliates may be required to provide W-9 information before payouts exceeding $600 in a calendar year.

6. Prohibited conduct

The following are grounds for immediate suspension and forfeiture of unpaid commissions:

  • Incentivized signups — offering rewards (cash, gift cards, points, etc.) in exchange for using your link. This is illegal in many jurisdictions and violates payment-processor rules.
  • Bidding on our brand keywords on Google Ads, Bing Ads, or any paid search platform. This includes "SERPTool", "serp-tool.com", and obvious misspellings.
  • Misrepresenting our service — false pricing, fabricated features, fake testimonials, or implying official endorsement.
  • Spam — unsolicited bulk email, comment spam, forum spam, or any activity that violates the CAN-SPAM Act, GDPR, UK PECR, or equivalent.
  • Cookie stuffing or click fraud — auto-loading the referral URL, iframing it, or any technical method that creates an attribution without a genuine click.
  • Off-platform poaching — contacting referred customers to move them to a competitor or to circumvent our service.
  • Use of brand assets beyond what is provided in the affiliate dashboard, or in any context that misrepresents the relationship.

7. Termination

  • You may close your affiliate account at any time. Accrued commissions past the hold period are paid out on the next payout cycle if they meet the threshold.
  • We may terminate your participation for any reason, including breach of these Affiliate Terms. On termination for cause, unpaid commissions may be forfeited.
  • On termination, your referral link is immediately deactivated. Existing referred customers remain customers; their subscriptions are unaffected but will no longer accrue commission.

8. Privacy

Click data we collect (IP address, user-agent, timestamp, landing path) is used only for fraud detection, attribution, and aggregated analytics shown in your dashboard. We do not share this data with third parties. See our Privacy Policy.

9. Changes

We may modify these Affiliate Terms with 30 days' notice via email to your account address. Continued participation after the effective date constitutes acceptance. Commission rate or window changes apply only to commissions from invoices issued after the effective date — already-accrued commissions are honored under the prior terms.

10. Limitation of liability

Our liability under these Affiliate Terms is limited to the unpaid commission balance owed to you at the time the claim arises. The general liability limits in our Terms of Service also apply.

11. Governing law

These Affiliate Terms are governed by the laws of England and Wales. Disputes are resolved in the courts of England and Wales.
